Terms of Service

1. Agreement
These Terms of Service (the “Terms”) are an agreement between AgentMachine LLC and the business that creates a Batchly account (the “merchant,” “you”). By creating an account or using Batchly you accept these Terms on behalf of your business. These Terms also serve as Batchly’s end-user license agreement.
2. The service
Batchly is a retail operating system: point of sale, inventory, orders, payments features, memberships, customer messaging, an AI phone/text front desk, reporting, and integrations (including QuickBooks Online). We license Batchly to you on a subscription basis; we do not sell you the software. We may improve or change features over time.
3. Your account and staff
- Keep your credentials secure; you are responsible for activity under your account.
- Staff access is per-user with roles; assign roles carefully — money-moving actions are restricted to the roles you configure.
- You must provide accurate business information and keep it current.
4. Payments
Card processing is provided through your merchant account with your payment processor, under your merchant agreement with that processor. Batchly transmits transaction amounts and results but never stores card numbers — card data stays with the payment gateway and its certified devices. You choose per sale how the card processing fee is presented (absorbed, passed to the customer, or split); you are responsible for ensuring your fee configuration complies with card-network rules and the laws of your state.
5. Customer messaging
Batchly operates a text-messaging program (order updates and restock reminders). Messages in that program are sent by Batchly to consumers who opt in to Batchly’s program; Batchly is the sender and enforces STOP and HELP. Batchly’s AI agent may also answer calls and texts to your store’s line. You are responsible for the accuracy of the catalog, pricing, and availability data you provide to Batchly.
6. Third-party services
Batchly connects to third-party services on your instruction — for example QuickBooks Online (Intuit), payment gateways, and telephony providers. Your use of those services is governed by their terms. We access them only with the credentials and permissions you grant, and you may disconnect them at any time.
7. Your data
Your business data (products, sales, customers) is yours. You grant us the rights needed to operate the service — storing, processing, and displaying that data to you and your staff, and sharing it with services you connect. Our Privacy Policy describes how information is handled. Data is tenant-isolated: one business cannot see another’s data.
8. Acceptable use
- No unlawful use, including selling products illegal in your jurisdiction.
- No messaging without consent, and no spam.
- No attempts to breach, probe, or overload the service or other tenants’ data.
- No reverse engineering or resale of the service except under a written partner agreement.
9. Fees and termination
Subscription fees, if applicable to your plan, are billed as agreed at signup. You may stop using Batchly at any time; on request we will make your data available for export for 30 days after closure. We may suspend or terminate accounts that violate these Terms or create risk for the platform, other merchants, or consumers.
10. Disclaimers
Batchly is provided “as is.” We work hard on reliability but do not warrant that the service will be uninterrupted or error-free. Reports, analytics, and AI-generated responses are assistance, not professional advice — verify figures that matter (for example tax filings) with your accountant.
11. Limitation of liability
To the maximum extent permitted by law, AgentMachine LLC’s total liability for any claim arising out of the service is limited to the fees you paid us in the twelve months before the claim, and we are not liable for indirect, incidental, or consequential damages, including lost profits.
12. Indemnity
You will defend and hold us harmless from claims arising out of your products, your sales practices, the catalog and pricing data you provide to Batchly, or your violation of law or these Terms.
13. Changes and governing law
We may update these Terms; material changes will be notified in-app or by email, and continued use constitutes acceptance. These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law rules.
